Investment Funds

The Investment Funds team offers assistance to a wide range of investors regarding various asset classes including real estate, private equity, venture capital, private debt, credit funds, funds that invest in blockchains and direct lending, with focus on the structuring, establishment, formation, taxation and regulation of alternative investment funds.

The team is specialised in advising public and private regulated bodies – insurance companies, pension funds, pension schemes, funds of funds – and also individuals who have a high net worth and many well-known sponsors, such as alternative investment fund providers and investors.

The team represents investors via secondary transactions when investing in newly-formed or pre-existing investment funds. Assistance is also provided to draft subscription and purchasing agreements to alternative investment funds on the behalf of investors, together with support for all legal and regulatory aspects.

The team represents sponsors and alternative investment fund managers in structuring their funds. Thanks to their wide-ranging knowledge of the market and of financial trends, our lawyers can assist in all financial aspects of fund structuring, such as the creation of performance fee structures that can satisfy both sponsors’ and investment fund providers’ needs, to obtain the maximum economic return, bearing in mind the fact that aligning the sponsors’, providers’ and investors’ interests is the key to successful fundraising.

The team assists its clients in drafting and negotiating regulatory agreements for relations between sponsors and providers, and in drafting the documents that establish alternative investment funds.

The team provides assistance on all fundraising matters, from drafting bid documents to placement agreements, support on sales restrictions and negotiation for the establishment documents for alternative funds with cornerstone investors and the drafting of memoranda and opinions for investors.

The team regularly helps alternative sponsors and investment funds regarding closing and post-closing activities.

The team assists its clients on all AIFMD aspects (e.g. The alternative investment fund providers directive, which introduced European requirements for all alternative investment fund providers other than UCITS funds, such as private equity funds, real estate and hedge funds), including:

  • obtaining authorisations and registration for existing and newly-established funds;
  • remunerative matters;
  • deposit, proxy and consultancy agreements in relation to the AIFMD;
  • marketing of alternative investment funds.

The team manages a wide range of regulatory matters regarding the entire alternative investment fund cycle.

The team advises on all regulatory matters concerning the relative Italian supervisory authorities, including corporate regulations and equity requirements, governance and also implementation processes. On this matter, the team has maintained relations with the supervisory authorities for many years. The team also represents fund providers on matters regarding money-laundering, and can update their money-laundering policies and procedures.

The team assists its clients in insolvency procedures.

The team regularly manages extraordinary transactions in relation to alternative investment funds, such as mergers, acquisitions, spin-offs and sales of invoices.
